This Terms of Use Agreement (“Agreement”), by and between NextON Consulting FZE (“we”, “us”, “our”) and you (“you” or “your”), governs your participation in the GLOBAL RESEARCH PANELS (the “Panel”), including your membership; your use of and/or access to any GLOBAL RESEARCH PANELS website; your participation in any survey offered, hosted or administered by or through the Panel; and your eligibility for and/or redemption of incentives — together with all information, content, products, materials and services made available to you (collectively, the “Services”).
By using or otherwise accessing the Services in any manner, you agree to be bound by and comply with this Agreement. If you do not agree, do not access or use the Services.
We may add, delete or modify any Services at any time in our sole discretion, and may change this Agreement at any time. Changes take effect once we notify you (the “effective date”). Your use of the Services after the effective date constitutes acceptance of those changes.
Panel membership is by invitation only, and may be open to individuals who satisfy the requirements for membership as determined by GLOBAL RESEARCH PANELS in its sole discretion, including minimum age and employment background requirements. Membership is specific to the individual who registers, and we permit only one member per unique email address.
GLOBAL RESEARCH PANELS may, at its sole discretion, refuse to provide the Services to anyone, at any time, for any reason or no reason. If you are interested in membership but have not received an invitation, please contact support@globalresearchpanels.com.
You may access the website as a visitor without being a Panel member and without disclosing Personal Information. To become a member, you must receive an invite, complete the recruitment survey and provide certain Personal Information — truthfully. We reserve the right to restrict or prohibit use of the Services if you provide, or we reasonably suspect you have provided, information that is untrue, inaccurate, not current or incomplete.
The Services are for personal, non-commercial use only. Participation is voluntary, and you may choose not to answer any survey questions. By becoming a member you agree to receive survey invitations, and you may opt out at any time.
You may not use the Services to transmit any content that: (a) is libelous, defamatory, obscene, harmful, harassing, hateful or otherwise objectionable; (b) violates any law or the rights of others; (c) causes distress or discomfort to another; and/or (d) infringes any intellectual property, privacy or confidentiality rights.
You may not attempt to disrupt or interfere with the Services, collect information from others without consent, or breach the security of the Services (including accessing unauthorized data, probing or scanning vulnerabilities, or transmitting viruses). Violations may result in civil or criminal liability.
You are responsible for any content you transmit and the consequences thereof. You can be held legally liable for what you transmit. User content should only contain the likeness of the individual submitting it and must not contain copyrighted or trademarked material of any third party.
We have no responsibility for or control over user content, but reserve the unconditional right (not the obligation) to remove, move or edit any content we consider harmful, offensive, unlawful or in violation of this Agreement. Persons found in violation may have their access blocked.
You agree to promptly notify GLOBAL RESEARCH PANELS of any changes to your information. You may update, correct and/or delete your membership profile by emailing support@globalresearchpanels.com or writing to BC 5 RAK Business Park, Al Nakeel, P.O. Box: 328029, Ras Al Khaimah, UAE.
GLOBAL RESEARCH PANELS must comply with international trade sanctions imposed by the U.A.E. government. As these laws change from time to time, we reserve the right to immediately implement any changes or additions to these restrictions as appropriate.
You may have the opportunity to earn rewards or incentives. Official rules and terms may be available on the website, within surveys, in invitations, newsletters or other communications. Rewards and incentives are non-transferable.
Participation in all surveys is voluntary. To opt out of the Panel:
The content made available via the Services (all text, graphics, images, programs, software and other data — the “Material”) is owned by or licensed to us or our third-party partners, as are all names, service marks, logos, brands, trade dress and trade names (the “Trademarks”).
You have no rights in the Material or Trademarks except as specifically permitted. You may not use or display our Trademarks without prior written permission, nor in any manner likely to cause confusion or that disparages us. Unless we give written permission, you may only access the Material for personal use and may not obscure our proprietary notices. The Material is provided for informational purposes only, without warranty, and is not a substitute for legal advice.
The Services may provide links to other websites or resources. Because we have no control over such sites, we are not responsible for their availability, content, advertising, products or services, and shall not be liable for any damage or loss caused by reliance on them.
THE SERVICES ARE PROVIDED ON AN “AS IS, AS AVAILABLE” BASIS, AND YOUR USE IS ENTIRELY AT YOUR OWN RISK. EXCEPT AS SPECIFICALLY SET FORTH IN THIS AGREEMENT, WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER GLOBAL RESEARCH PANELS NOR ITS LICENSORS, SUPPLIERS, PARTNERS, AFFILIATES OR THIRD-PARTY SERVICE PROVIDERS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE SERVICES.
In the event of any dispute with one or more third parties as a result of your use of the Material or Services, you release us and our affiliates, officers, directors, employees, agents, representatives and suppliers from any claims, actions, demands or damages of whatever kind, known or unknown.
You agree to defend, indemnify and hold us harmless against any losses, expenses, costs or damages (including reasonable attorneys’ fees) arising from (a) your breach of this Agreement, (b) your use of the Services, and/or (c) use of the Services by any other person using your IDs.
We may terminate this Agreement and restrict, suspend or terminate your access to the Services immediately and without notice or liability, with or without cause. You may terminate by providing written notice and ceasing use of the Services. Upon termination, your right to access and use the Services immediately ceases.
This Agreement and your use of the Services are governed by the substantive laws of the U.A.E., excluding its conflicts-of-law rules. You consent to the exclusive jurisdiction and venue of the federal and state courts sitting in the U.A.E.
No failure or delay in enforcing any provision shall be a waiver of any right. You may not assign your rights under this Agreement without our prior written permission. If any term is held invalid, illegal or unenforceable, the remaining portions shall not be affected, and any provision that by its nature must survive termination shall survive.
